# Blogz Platform Seller Agreement

**This Platform Seller Agreement** (the “Agreement”) is entered into by and between:

1. **Blogz Platform,** a [Type of Entity, e.g., Corporation, LLC] organized under the laws of [State/Country], with its principal place of business at [Platform Legal Address] (hereinafter referred to as “**Blogz**” or the “**Platform**”); and

Blogz and the Seller are collectively referred to as the “Parties” and individually as a “Party.”

## 1. Purpose and Scope

### 1.1. Purpose

This Agreement governs the terms and conditions under which the Seller may list, market, and sell their products (“Seller Products”) through the Blogz online marketplace (the “**Blogz Store**”).

### 1.2. Acceptance

By listing any Seller Product on the Blogz Store, the Seller acknowledges and agrees to be bound by all terms and conditions of this Agreement, the Blogz Terms of Service, and the Blogz Privacy Policy.

## 2. Platform Fee and Financial Terms

### 2.1. Platform Fee

In consideration for the use of the Blogz Store, including hosting, payment processing, customer interface, and marketing support, the Seller agrees to pay Blogz a fee equal to **twelve percent (12%)** of the Gross Sale Price for every sale of a Seller Product made through the Blogz Store.

### 2.2. Definitions

| Term | Definition |

| **Gross Sale Price** | The total amount paid by the customer for the Seller Product, including the product price and any associated shipping or handling fees, but excluding sales tax. |
| **Platform Fee** | The twelve percent (12%) fee calculated on the Gross Sale Price, payable to Blogz. |
| **Net Payout** | The Gross Sale Price minus the Platform Fee (12%) and any other applicable deductions, including but not limited to refunds, chargebacks, payment processing fees, and any applicable taxes or regulatory fees. |

### 2.3. Payment Processing and Payout

Blogz shall be responsible for collecting all payments from customers for Seller Products. Blogz will remit the Net Payout to the Seller on a **Bi-weekly** basis, within **[Number, e.g., 14]** days following the end of the payment period. Blogz reserves the right to offset any amounts owed by the Seller to Blogz against the Net Payout.

### 2.4. Taxes

The Seller is solely responsible for the calculation, collection, and remittance of all applicable taxes (including sales, use, and value-added taxes) arising from the sale of Seller Products.

## 3. Seller Obligations and Product Standards

### 3.1. Product Compliance

The Seller warrants that all Seller Products comply with all applicable federal, state, and local laws, regulations, and industry standards. The Seller further warrants that the sale of the Seller Products does not infringe upon the intellectual property rights of any third party.

### 3.2. Listing Accuracy

The Seller shall maintain accurate and complete product listings, including descriptions, pricing, images, and inventory levels. Any misrepresentation of a Seller Product is a material breach of this Agreement.

### 3.3. Fulfillment and Customer Service

The Seller is solely responsible for the fulfillment, shipping, and delivery of all Seller Products. The Seller must handle all customer inquiries, returns, and warranty claims related to the Seller Products in a timely and professional manner, adhering to the customer service standards set by Blogz.

## 4. Platform Rights and Responsibilities

### 4.1. Platform Maintenance

Blogz shall provide and maintain the Blogz Store infrastructure, including the technical means for listing products and processing payments.

### 4.2. Right to Remove

Blogz reserves the right, in its sole discretion, to immediately suspend or remove any Seller Product listing or the Seller’s account if Blogz determines that the Seller or the Seller Products violate this Agreement, the law, or the spirit of the Blogz community.

## 5. Intellectual Property

### 5.1. License to Blogz

The Seller grants Blogz a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute the Seller’s trademarks, logos, and product content for the purpose of operating and promoting the Blogz Store and the Seller Products.

### 5.2. Infringement

The Seller shall immediately notify Blogz of any claim of intellectual property infringement related to the Seller Products.

## 6. Indemnification

The Seller agrees to indemnify, defend, and hold harmless Blogz, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) the Seller’s breach of this Agreement; (b) any claim that the Seller Products infringe on the intellectual property rights of a third party; or (c) any product liability claim related to the Seller Products.

## 7. Term and Termination

### 7.1. Term

This Agreement shall commence on the Effective Date and shall continue until terminated by either Party in accordance with this Section 7.

### 7.2. Termination for Convenience

Either Party may terminate this Agreement for any reason by providing **thirty (30) days** written notice to the other Party.

### 7.3. Termination for Cause

Blogz may terminate this Agreement immediately upon written notice if the Seller breaches any material term of this Agreement, including but not limited to failure to pay fees, misrepresentation of products, or repeated customer complaints.

## 8. Miscellaneous Provisions

### 8.1. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of **[State/Country]**. The Parties agree to submit to the exclusive jurisdiction of the courts located in **[City, State/Country]** for the resolution of any disputes.

### 8.2. Entire Agreement
