BLOGZ PLATFORM SELLER AGREEMENT (v3.0)

This Platform Seller Agreement (this “Agreement”) is a legally binding contract entered into by and between:

Blogz Platform, a [Corporation / Limited Liability Company] organized and existing under the laws of the State of Florida, with its principal place of business at [Platform Legal Address] (“Blogz,” “we,” “us,” or the “Platform”); and

Blogz and Seller may be referred to individually as a “Party” and collectively as the “Parties.”

1. PLATFORM OVERVIEW AND PURPOSE

1.1 Marketplace Overview

Blogz operates a multi-vendor online marketplace designed to enable independent sellers, brands, and creators to reach a broad consumer audience. The Blogz marketplace model is comparable to leading global marketplaces and supports:

• Thousands of active product listings

• A growing community of independent sellers

• Integrated payments, storefronts, and discovery tools

• Marketing, analytics, and customer engagement features

1.2 Purpose

This Agreement sets forth the terms and conditions under which Seller may list, market, and sell goods or services (“Seller Products”) through the Blogz marketplace, including Seller storefronts, product listings, and checkout functionality (collectively, the “Blogz Store”).

1.3 Acceptance of Agreement

By creating a seller account, listing Seller Products, or completing any transaction on the Blogz Store, Seller expressly acknowledges that Seller has read, understood, and agrees to be bound by:

• This Agreement

• The Blogz Terms of Service

• The Blogz Privacy Policy

• Any applicable platform policies, guidelines, or fee schedules

2. FEES, PAYMENTS, AND FINANCIAL TERMS

2.1 Platform Service Fee

Seller agrees to pay Blogz a platform service fee equal to twelve percent (12%) of the Gross Sale Price for each completed transaction conducted through the Blogz Store.

This platform service fee compensates Blogz for marketplace access, infrastructure, payment facilitation, marketing exposure, and seller tools.

2.2 Merchant and Payment Processing Fees

Seller is solely responsible for all merchant, payment processing, card network, bank, and transaction-related feescharged by payment processors, financial institutions, or third-party payment service providers in connection with Seller’s transactions (“Merchant Fees”).

Merchant Fees may include, without limitation:

• Credit and debit card processing fees

• ACH or wire transfer fees

• Payment gateway or processor fees

• Currency conversion or cross-border fees

Merchant Fees shall be deducted from Seller’s Gross Sale Price prior to Net Payout, in addition to the Platform Service Fee.

2.3 Definitions

2.4 Payment Collection and Disbursement

• Blogz will collect customer payments on Seller’s behalf as Seller’s limited payment collection agent.

• Net Payouts will be disbursed to Seller on a bi-weekly basis, within fourteen (14) days following the end of each payout period.

• Blogz reserves the right to withhold, offset, or delay payouts to address refunds, chargebacks, disputes, negative balances, suspected fraud, or violations of this Agreement.

2.5 Taxes

Seller is solely responsible for determining, collecting, reporting, and remitting all applicable taxes arising from Seller’s sales, including but not limited to sales tax, VAT, GST, customs duties, and similar governmental charges.

3. SELLER RESPONSIBILITIES AND STANDARDS

3.1 Legal and Regulatory Compliance

Seller represents and warrants that all Seller Products:

• Comply with all applicable laws, regulations, and industry standards

• Are lawfully manufactured, marketed, and sold

• Do not infringe or misappropriate any third-party intellectual property or proprietary rights

3.2 Accuracy of Listings

Seller is responsible for ensuring all listings are accurate, complete, and not misleading, including product descriptions, pricing, images, fulfillment timelines, and availability. Any material misrepresentation constitutes a material breach of this Agreement.

3.3 Order Fulfillment and Customer Support

Seller is solely responsible for:

• Order fulfillment and shipping

• Returns, exchanges, refunds, and warranty obligations

• Prompt and professional customer support

Seller must maintain customer service standards consistent with recognized marketplace best practices.

4. PLATFORM RIGHTS AND OPERATIONS

4.1 Platform Services

Blogz shall provide reasonable access to marketplace infrastructure, including listing tools, payment processing, seller dashboards, and discovery features. Blogz does not guarantee any minimum sales volume, traffic levels, or profitability.

4.2 Content Review and Enforcement

Blogz reserves the right, in its sole discretion, to:

• Remove or suspend listings

• Suspend or terminate Seller accounts

• Restrict or revoke marketplace access

if Seller violates this Agreement, applicable law, platform policies, or engages in conduct that poses legal, financial, or reputational risk to Blogz.

5. INTELLECTUAL PROPERTY

5.1 License Grant

Seller grants Blogz a non-exclusive, worldwide, royalty-free, sublicensable license to use Seller’s trademarks, product images, descriptions, and branding solely for operating, marketing, and promoting the Blogz marketplace and Seller Products.

5.2 Ownership

Except for the limited license granted herein, Seller retains all ownership rights in Seller’s intellectual property.

6. INDEMNIFICATION

Seller agrees to indemnify, defend, and hold harmless Blogz and its affiliates, officers, directors, employees, and agents from any and all claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Seller’s breach of this Agreement

• Seller Products or their sale

• Alleged infringement of intellectual property rights

• Product defects, injuries, or consumer claims

7. TERM AND TERMINATION

7.1 Term

This Agreement begins on the Effective Date and continues until terminated in accordance with this Section.

7.2 Termination for Convenience

Either Party may terminate this Agreement without cause upon thirty (30) days’ written notice.

7.3 Termination for Cause

Blogz may terminate this Agreement immediately upon notice if Seller materially breaches this Agreement or engages in fraudulent, unlawful, or harmful conduct.

8. MISCELLANEOUS

8.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-laws principles.

8.2 Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous agreements relating to its subject matter.
