# Blogz Affiliate Sales Contract

**This Affiliate Sales Contract** (the “Agreement”) is entered into by and between:

1. **Blogz Platform,** a [Type of Entity, e.g., Corporation, LLC] organized under the laws of [State/Country], with its principal place of business at [Platform Legal Address] (hereinafter referred to as “**Blogz**” or the “**Platform**”); and

Blogz and the Affiliate are collectively referred to as the “Parties” and individually as a “Party.”

## 1. Appointment and Scope

### 1.1. Appointment

Blogz hereby grants the Affiliate a non-exclusive, revocable, non-transferable right to advertise and promote the products and services offered on the Blogz platform (the “Products”) to potential customers in exchange for a commission, subject to the terms and conditions of this Agreement.

### 1.2. Scope of Promotion

The Affiliate shall promote the Products solely through the use of unique tracking links, codes, or other approved mechanisms provided by Blogz (the “Affiliate Links”). The Affiliate is solely responsible for the development, operation, and maintenance of its promotional channels.

## 2. Commission Structure and Payment

### 2.1. Commission Rate

Blogz agrees to pay the Affiliate a commission equal to **four percent (4%)** of the Net Sale Price for every Qualified Sale generated directly through a valid Affiliate Link.

### 2.2. Definitions

| Term | Definition |

| **Qualified Sale** | A sale of a Product to a new customer that is successfully completed, paid for, and not subject to cancellation, return, chargeback, or refund within the Blogz standard return/cancellation period of [Number] days. Sales to existing Blogz customers or self-referrals are excluded. |
| **Net Sale Price** | The final price paid by the customer for the Product, after the application of any discounts, but **excluding** any taxes, shipping costs, processing fees, or the 12% Platform Fee retained by Blogz. |
| **Platform Fee** | The twelve percent (12%) fee retained by Blogz from the Gross Sale Price, as defined in the Blogz Platform Seller Agreement. This fee is deducted before the Net Sale Price is calculated for commission purposes. |

### 2.3. Payment Terms

Commissions will be calculated and paid on a **Monthly** basis, within **[Number, e.g., 30]** days following the end of the calendar month in which the Qualified Sale was confirmed. Blogz reserves the right to withhold payment until the total accrued commission reaches a minimum payout threshold of **[Currency and Amount, e.g., $50.00]**.

### 2.4. Payment Method

Payments will be made via [Payment Method, e.g., PayPal, Bank Transfer] to the account specified by the Affiliate. The Affiliate is responsible for providing accurate payment information and for all transaction fees associated with the payment method.

## 3. Affiliate Responsibilities and Prohibited Activities

### 3.1. Compliance

The Affiliate shall comply with all applicable federal, state, and local laws, regulations, and industry best practices, including but not limited to the Federal Trade Commission (FTC) guidelines regarding the clear and conspicuous disclosure of the Affiliate’s material connection to Blogz.

### 3.2. Prohibited Activities

The Affiliate shall not engage in any of the following:
* Bidding on any Blogz trademark, including “Blogz,” “Blogz Platform,” or any misspellings, in any search engine marketing (SEM) campaign.
* Using any form of unsolicited commercial email (spam) or other illegal marketing methods.
* Generating fraudulent transactions, including but not limited to using bots, scripts, or automated tools.
* Making any false, misleading, or disparaging representations about Blogz or its Products.

## 4. Intellectual Property

### 4.1. Blogz Ownership

The Affiliate acknowledges that all intellectual property rights, including trademarks, copyrights, and proprietary information related to Blogz, the Platform, and the Products, are and shall remain the exclusive property of Blogz.

### 4.2. Limited License

Blogz grants the Affiliate a non-exclusive, non-transferable, revocable license to use the Blogz name, logos, and approved marketing materials solely for the purpose of performing its obligations under this Agreement. This license shall terminate immediately upon the termination of this Agreement.

## 5. Confidentiality

The Affiliate agrees to keep confidential all non-public information received from Blogz, including but not limited to sales data, commission rates, and business strategies, and shall not disclose such information to any third party without the prior written consent of Blogz.

## 6. Indemnification

The Affiliate agrees to indemnify, defend, and hold harmless Blogz, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) the Affiliate’s breach of this Agreement; (b) any misrepresentation or negligence by the Affiliate; or (c) any violation of law by the Affiliate in the performance of its duties.

## 7. Term and Termination

### 7.1. Term

This Agreement shall commence on the Effective Date and shall continue for a period of one (1) year, automatically renewing for successive one-year terms unless terminated earlier in accordance with this Section 7.

### 7.2. Termination for Convenience

Either Party may terminate this Agreement for any reason by providing **thirty (30) days** written notice to the other Party.

### 7.3. Termination for Cause

Blogz may terminate this Agreement immediately upon written notice if the Affiliate breaches any material term of this Agreement, including but not limited to engaging in any Prohibited Activity (Section 3.2).

## 8. Miscellaneous Provisions

### 8.1. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of **[State/Country]**. The Parties agree to submit to the exclusive jurisdiction of the courts located in **[City, State/Country]** for the resolution of any disputes.

### 8.2. Entire Agreement
